1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and TeleSource Communications Inc. ("TeleSource," "we," "us," or "our") governing your access to and use of the website telesourceinc.net and all related services, applications, and content (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. We recommend that you print or save a copy of these Terms for your records.

2. Description of Services

TeleSource Communications Inc. provides Communication Asset Management solutions, including but not limited to:

• Telecom Expense and Invoice Management (TEiM)
• Wireless and mobility management services
• Wireline expense management
• Asset and inventory tracking
• Cost allocation and billing services
• 24/7 Technical Assistance Center support
• Project management services
• Connect™ software platform access
• Audit and optimization services

Specific services are provided pursuant to separate service agreements between TeleSource and its clients.

3. User Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

If you are accessing or using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

4. User Accounts and Registration

Certain features of our Services may require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or regulation
• Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services
• Use any robot, spider, scraper, or other automated means to access the Services without our express written permission
• Interfere with or disrupt the integrity or performance of the Services
• Transmit any viruses, malware, or other harmful code
• Impersonate or attempt to impersonate TeleSource, a TeleSource employee, another user, or any other person or entity
• Use the Services to send unsolicited communications (spam)
• Collect or harvest any personally identifiable information from the Services
• Use the Services for any commercial purpose not expressly permitted by TeleSource

6. Intellectual Property Rights

6.1 TeleSource Property

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof) are owned by TeleSource, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The TeleSource name, logo, Connect™ platform, and all related names, logos, product and service names, designs, and slogans are trademarks of TeleSource or its affiliates. You may not use such marks without the prior written permission of TeleSource.

6.2 Limited License

Subject to these Terms, TeleSource grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include:

• Any resale or commercial use of the Services or their contents
• Any derivative use of the Services or their contents
• Any downloading or copying of account information for the benefit of another party
• Any use of data mining, robots, or similar data gathering and extraction tools

7. Confidentiality

In the course of using our Services or engaging with TeleSource, you may receive or have access to confidential information, including but not limited to business strategies, pricing, technical information, and proprietary methodologies ("Confidential Information").

You agree to:

• Maintain the confidentiality of all Confidential Information
• Use Confidential Information only for purposes authorized by TeleSource
• Not disclose Confidential Information to any third party without prior written consent
• Return or destroy Confidential Information upon request or termination of Services

8. Third-Party Services and Links

Our Services may contain links to third-party websites, services, or resources. TeleSource is not responsible for:

• The availability or accuracy of third-party services
• The content, products, or services on or available from third-party sites
• Any damages or losses caused by third-party services

Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.

9. Disclaimer of Warranties

To the fullest extent permitted by law, TeleSource disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that defects will be corrected

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

10. Limitation of Liability

In no event shall TeleSource's total liability to you for all claims arising out of or relating to these Terms or your use of the Services exceed the greater of:

• The amount you paid to TeleSource in the twelve (12) months preceding the claim, or
• One hundred dollars ($100)

These limitations apply regardless of the theory of liability (whether in contract, tort, or otherwise) and even if TeleSource has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless TeleSource and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you submit or transmit through the Services

12. Termination

TeleSource may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Request by law enforcement or government agencies
• Discontinuance or material modification of the Services
• Extended periods of inactivity

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through:

1. Informal Negotiation: The parties shall first attempt to resolve any dispute informally for at least thirty (30) days.
2. Binding Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration in Mecklenburg County, North Carolina, in accordance with the rules of the American Arbitration Association.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

14. Modifications to Terms

TeleSource reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by TeleSource on the Services, constitute the entire agreement between you and TeleSource regarding the use of the Services. These Terms supersede any prior agreements or understandings, whether written or oral.

17. Waiver

The failure of TeleSource to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by TeleSource to be effective.
